Please read these Terms of Service carefully before using HealthBilling.ai's services. By accessing or using our website and services, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the HealthBilling.ai website, services, and any related applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy and Notice of Privacy Practices.

If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

HealthBilling.ai provides AI-powered medical bill audit services designed to help patients identify billing errors, overcharges, and potential savings on their medical bills. Our Services include:

  • Analysis of medical bills for coding errors, duplicate charges, and billing discrepancies
  • Generation of detailed audit reports with plain-English explanations
  • Custom dispute letter templates for challenging billing errors
  • Access to advocacy support and customer service

Important: HealthBilling.ai provides informational and document preparation services only. We are not attorneys, and our services do not constitute legal advice. We do not guarantee specific savings outcomes or represent you in legal proceedings.

3. User Accounts and Registration

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information to keep it accurate
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

By purchasing our Services, you agree to the following payment terms:

Service Tiers and Pricing

Quick Audit $99 one-time payment
Deep Audit $299 one-time payment
Full Recovery 30% contingency fee on savings achieved
  • All fees are charged at the time of service activation
  • Payments are processed securely through Stripe
  • Quick Audit fees are refundable if no errors are found
  • Contingency fees are calculated on actual savings achieved

Refunds: Quick Audit fees will be refunded in full if our audit finds no billing errors. Refund requests must be submitted within 30 days of receiving your audit report.

5. Intellectual Property Rights

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, are owned by HealthBilling.ai and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. This license does not include:

  • Any resale or commercial use of the Services
  • Downloading or copying account information for another party's benefit
  • Any derivative use of the Services or content therein
  • Use of any data mining, robots, or similar data gathering or extraction methods

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

6. User Content and Submissions

You may submit documents, information, and other content through our Services ("User Content"). By submitting User Content, you:

  • Grant us a non-exclusive, royalty-free, worldwide license to use, copy, modify, and process such content for the purpose of providing our Services
  • Represent that you have the legal right to submit such content
  • Agree that such content does not infringe on any third party's rights

You are solely responsible for your User Content. We do not claim ownership of User Content you submit.

7. Prohibited Uses

You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate HealthBilling.ai, a HealthBilling.ai employee, or another user
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • To attempt to gain unauthorized access to any portion of the Services
  • To introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Any errors or defects will be corrected
  • The Services will identify all billing errors or result in savings
  • Any disputes raised using our templates will be successful

We make no guarantees regarding the outcome of any dispute, claim, or billing negotiation undertaken using our Services. Actual savings, if any, will depend on the specific circumstances of each case and the willingness of healthcare providers and insurers to adjust billing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEALTHBILLING.AI, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, goodwill, or anticipated savings
  • Loss of data or information
  • Cost of substitute services
  • Any other damages or losses arising from your use of the Services

THE AGGREGATE LIABILITY OF HEALTHBILLING.AI, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE ABOVE-REFERENCED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10. Governing Law and Jurisdiction

Governed by Minnesota Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be determined by arbitration, as set forth in Section 11 below. You further agree to submit to the personal jurisdiction of and to venue in the state and federal courts located in Hennepin County, Minnesota for the purpose of litigating all such claims or disputes that are not subject to arbitration.

You waive any objection to venue in such courts on the basis of inconvenient forum or otherwise.

11. Arbitration Agreement

This section contains an arbitration agreement that affects your legal rights. By agreeing to these Terms, you and HealthBilling.ai are each waiving the right to a trial by jury or to participate in a class action lawsuit.

A. Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this arbitration agreement, shall be determined by arbitration in Minneapolis, Minnesota before a single arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction.

B. Class Action Waiver

YOU AND HEALTHBILLING.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

C. Arbitration Fees

The party initiating the arbitration shall pay the filing fee. Each party shall bear its own costs and attorneys' fees. Notwithstanding the foregoing, if you are an individual consumer, HealthBilling.ai will pay all JAMS filing, administrative, and arbitrator fees for any arbitration initiated by you.

D. Opt-Out Right

You have the right to opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notification to HealthBilling.ai at legal@healthbilling.ai. Your notification must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

E. Exceptions to Arbitration

Notwithstanding the foregoing, the following disputes are not subject to this arbitration agreement:

  • Claims for injunctive or other equitable relief in small claims court or state courts
  • Claims regarding intellectual property rights
  • Claims arising from the Fair Debt Collection Practices Act

F. Severability

If any provision of this arbitration agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. If the class action waiver is found to be unenforceable, the entire arbitration agreement shall be null and void.

12. Indemnification

You agree to defend, indemnify, and hold harmless HealthBilling.ai, its affiliates, licensors, service providers, employees, agents, officers, directors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property, privacy, or publicity rights
  • Your misuse of the Services
  • Any User Content you submit

13. Termination

These Terms remain in effect while you use the Services. We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

We may also discontinue the Services at any time with thirty (30) days' prior notice.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

For non-material changes, the updated Terms will be effective immediately upon posting. We encourage you to review these Terms periodically for any updates.

15. Miscellaneous

These Terms constitute the entire agreement between you and HealthBilling.ai regarding your use of the Services and supersede all prior agreements and understandings.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice to you.

The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
